Amended Constitution update

In November 2025, the members of the Dons Trust were presented with a draft Constitution as a proposal and were invited to comment. The Constitution Working Group and the Dons Trust Board reviewed the feedback received and make amendments to the draft proposal.

The main changes were:

Revising the threshold for member called meetings to 5% of the membership: This was after extensive feedback that the 10% in the current Constitution was too high given the increase in the Dons Trust Membership.

Updating the voting approach to allow for voting before and / or after a meeting: Clause 7.15 should be read in the spirit of recognising the desire for debate on an issue whilst also allowing for the practical reality of certain items of business, and wanting to encourage as much member engagement as possible.

For Restricted Action items, Schedule A Section 4b would be considered in parallel too this clause

Clarification to co-options for casual vacancies and external directors

The addition of Extraordinary General Meetings

Clarifying that the terms set out under clause 8.31 relate to borrowing from non-members
